Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and ITCAlert ("we," "us," or "our"), the operator of ITCAlert. ITCAlert is currently a pre-launch product being built by its founding team in India, and is operated on a pre-incorporation basis pending formal business registration; this section will be updated with our registered legal entity name once that is complete. By visiting our website, joining our waitlist, or using our product, you agree to be bound by these Terms. If you do not agree, please do not use ITCAlert.

2. Description of service

ITCAlert is a software tool that helps businesses and their accountants reconcile purchase records against GSTR-2A/2B data to identify input tax credit (ITC) mismatches, and to notify suppliers who have not filed returns. ITCAlert is currently in a pre-launch, early-access phase; features described on our website may change before general availability.

3. Eligibility

ITCAlert is intended for use by businesses, tax professionals, and their authorised representatives operating in India, and is not directed at individuals under 18. By using ITCAlert, you confirm that you have the authority to bind the business or organisation you represent to these Terms.

4. Waitlist & early access

Joining the waitlist reserves your interest in ITCAlert but does not guarantee access, a launch date, or specific features. We may invite waitlist members in any order, at our discretion, and may modify or discontinue the waitlist program at any time.

5. Accounts & security

Once ITCAlert launches, you will need an account to use the product. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorised use.

6. Acceptable use

You agree not to: use ITCAlert for any unlawful purpose; upload data you do not have the right to use; attempt to reverse-engineer, scrape, or disrupt the service; use supplier alerts to harass, mislead, or send unsolicited communications unrelated to genuine ITC/filing follow-up; or misrepresent your identity or authority.

7. Your data & content

You retain ownership of the business data you upload to ITCAlert, including purchase registers, invoices, and supplier lists ("Your Data"). By using the service, you grant us a limited licence to process Your Data solely to provide and improve ITCAlert, as described in our Privacy Policy. You are responsible for the accuracy of Your Data and for having the right to share any supplier information you upload.

8. No tax or legal advice

ITCAlert is a reconciliation and notification tool. It does not provide tax, legal, accounting, or professional advice, and mismatch flags or supplier alerts should not be treated as a substitute for review by a qualified chartered accountant or tax professional. You remain solely responsible for your GST filings, ITC claims, and compliance with applicable law. We make no guarantee that using ITCAlert will result in successful ITC claims or prevent compliance issues.

9. Intellectual property

ITCAlert, including its software, design, branding, and content (excluding Your Data), is owned by us or our licensors and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to use ITCAlert for your internal business purposes, subject to these Terms.

10. Fees & payment

Joining the waitlist is free. Once ITCAlert launches, some or all features may require a paid subscription. Applicable fees, billing cycles, and refund terms will be presented to you before you subscribe, and will supplement these Terms.

11. Third-party services

ITCAlert may connect to third-party services, including the GST portal or GST Suvidha Providers, to retrieve GSTR-2A/2B data on your authorisation. We are not responsible for the availability, accuracy, or performance of these third-party services, which are governed by their own terms.

12. Disclaimers

ITCAlert is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that mismatch detection will be complete or entirely accurate, as it depends on the data you provide and third-party GST data.

13. Limitation of liability

To the maximum extent permitted by law, ITCAlert and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or ITC arising from your use of the service. Our total liability for any claim relating to ITCAlert will not exceed the amount you paid us, if any, in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your use of ITCAlert, Your Data, or your violation of these Terms or applicable law.

15. Termination

You may stop using ITCAlert, or leave the waitlist, at any time by contacting us. We may suspend or terminate your access if you violate these Terms, or discontinue the waitlist or product with reasonable notice where practicable.

16. Governing law

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of ITCAlert will be subject to the exclusive jurisdiction of the competent courts in India, with the specific city to be confirmed here once our business registration is complete.

17. Changes to these terms

We may update these Terms from time to time — including once our business registration is complete and this section is updated with our formal legal entity and jurisdiction details. We will post the revised version here with an updated "Last updated" date, and for material changes, notify you by email or an in-product notice. Continued use of ITCAlert after changes take effect constitutes acceptance of the updated Terms.
